Services Agreement

This is the agreement between you and Sutton when you buy a Sutton engagement. You accept it when you pay. If we have also signed a separate written contract with you, that contract wins wherever the two disagree.
Sutton is a trading name of Synthweave LLC. Browsing the site is covered by our Terms of Use; how we handle data is covered by our Privacy Policy and Data Processing Agreement.
What you are buying
You pick one package. Each one is a fixed monthly fee for a defined scope of marketing work:
- Coach — $1,000 a month. Async access plus one live hour a month.
- Areas — $3,500 a month per area, minimum two, maximum three. We own the areas you pick; you own the rest.
- Whole Marketing — $12,500 a month, or $8,750 a month plus a Success Fee. We own your growth number end to end. For ad spend under $100,000 a month.
- Whole Marketing, Scaled — $25,000 a month, or $17,500 a month plus a Success Fee. The same, for ad spend over $100,000 a month.
Where a package covers “areas” of your funnel, we agree which ones at kickoff and write them down.
Billing
Every package is a recurring monthly subscription, billed in advance. The first payment starts the engagement, and the same amount is charged automatically on the same day each month until you cancel. Stripe emails you a receipt each time, and a reminder seven days before each renewal. Your card or bank statement will read SUTTON GROWTH.
There is no minimum term on any package.
The deposit
If you pay a $1,000 engagement deposit to hold a start date, we credit it in full against your first month’s fee. If we never start, we refund it.
The Success Fee, where you have chosen it
Two packages have a lower monthly fee plus a share of the growth. Here is exactly how that works.
Your baseline is what your business would have made each month without us. We set it once, on the day you sign, for the following twelve months: the same month last year, adjusted for the growth rate you were already on. It is twelve numbers, written into your agreement before any work starts.
Each month you pay 10% of everything above that baseline, and nothing below it. The fee is capped — at $11,250 a month on Whole Marketing, and $22,500 a month on Whole Marketing Scaled. The cap resets every month.
If a month comes in under baseline, the fee is simply zero. We never claw money back and we never issue a negative charge. We calculate the fee in the first week of the following month and add it to your next invoice, with the arithmetic shown on the line item so you can check it.
If your business has less than twelve months of history, your baseline is the month you signed, and we reset it against real history in year two.
Cancelling
You can cancel any month. Tell us, or cancel from the billing portal link on your receipt. The engagement ends at the close of the month you have already paid for, so we can hand work back to you properly.
Refunds
Once a month is paid it is not refundable, and we do not pro-rate part months. We commit people and tools to your account at the start of each month. This is why there is no minimum term: you are never locked in beyond the month you are in.
Advertising spend
You pay for advertising directly, from your own accounts, on your own cards. Sutton never takes a percentage of your ad spend and never bills you for it. Our fee is the fee.
Expenses
Anything we need to buy on your behalf is approved by you first, then billed at cost the following month.
Approval
Nothing that changes your spend, publishes work in your name, or adds material risk goes live without your sign-off. You set the goal, the scorecard, and what is off-limits; we bring you the work and the reasoning and you decide.
What we need from you
- Access to the accounts and people the work depends on.
- The data that bears on the work, including the numbers behind your funnel.
- Permission to make agreed changes to your site and app.
- Engineering support when something needs your team, up to four hours a week.
- Prompt decisions. Work stalls without them, and the month still runs.
If we cannot get access or answers, we will tell you what it is costing rather than quietly absorb it.
What you own
Everything we build for you is yours: pages, creative, sequences, audiences, scorecards, and the accounts they live in. It stays yours when the engagement ends. We keep our own methods, templates, and internal tooling.
Confidentiality
Each of us keeps the other’s confidential information confidential, and uses it only for the work. That covers your business data and our methods, and it continues after the engagement ends.
Results
We do not guarantee results. Any projection, model, or forecast we show you is an estimate from the information available at the time, and it will change as we test. Marketing performance depends on your product, your market, your pricing, and conditions none of us control.
Limits
Neither of us is liable to the other for indirect or consequential losses, including lost profit or lost data. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose. Nothing here limits liability that cannot be limited by law.
Changes
We may update these terms. If a change materially affects an active engagement, we will tell you before it applies to you, and you can cancel at the end of your current month if you do not accept it. The version you accepted at checkout governs your engagement until then.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.
